By accessing or using the Services, creating an account, or starting a trial or subscription, you agree to these Terms. If you use the Services for a company, you represent that you can bind that company.
1. Agreement and scope
These Terms of Service (“Terms”) are a binding agreement between you and Wired2Lead, LLC (“Wired2Lead,” “we,” “us,” or “our”). They govern your access to and use of wired2lead.com, AI.Wired2Lead, and related websites, applications, content, assessments, tools, communications, subscription services, and features (collectively, the “Services”).
If you do not agree to these Terms, do not access or use the Services. Our Privacy Policy explains how we handle personal information and is incorporated by reference where permitted by law.
2. Eligibility and accounts
You must be at least 18 years old and legally able to enter into a contract to use paid or account-based Services. The Services are designed for business use and are not directed to children.
You agree to provide accurate and current information, keep your account credentials confidential, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account and for ensuring that anyone you authorize to use the Services complies with these Terms.
3. Free trials, subscriptions, billing, and cancellation
Free trials
When offered, a free trial begins when you complete signup and continues for the period displayed at signup. Unless you cancel before the trial ends, the paid subscription selected at checkout will begin automatically and the payment method on file will be charged.
Recurring subscriptions
Paid subscriptions renew automatically for the billing period shown at checkout until canceled. Prices, plan features, billing frequency, and applicable taxes are disclosed before purchase. We may change subscription prices or features prospectively by providing notice required by law. A price change will apply no earlier than your next renewal after the notice period.
Payment authorization
You authorize Wired2Lead and its payment processor to charge the payment method associated with your account for subscription fees, taxes, and other amounts you approve. You are responsible for keeping billing information current. If a payment cannot be completed, we may retry the charge and suspend or limit access until payment is received.
Cancellation
You may cancel through available account or billing controls or by contacting us. Cancellation takes effect at the end of the current paid billing period unless otherwise stated. To avoid the first subscription charge, cancel before a free trial ends.
Refunds
Except where required by law or expressly stated in a written refund policy, subscription payments are non-refundable and we do not provide credits for partially used billing periods. Nothing in these Terms limits a non-waivable consumer right.
4. Customer content and business information
“Customer Content” means prompts, questions, business information, files, messages, assessments, feedback, and other material you submit to the Services, together with material generated specifically for you from those submissions.
As between you and Wired2Lead, you retain your rights in Customer Content. You grant Wired2Lead a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display, modify, and otherwise use Customer Content only as reasonably necessary to provide, maintain, secure, support, and improve the Services; comply with law; and enforce these Terms.
You represent that you have all rights and permissions necessary to submit Customer Content and allow the uses described in these Terms. You may not submit content that violates law, infringes another person’s rights, breaches a duty of confidentiality, or contains information you are not authorized to disclose.
5. AI-assisted services and output
The Services use artificial intelligence to help generate business guidance, analyses, drafts, plans, systems, playbooks, calculations, and other output (“Output”). AI systems are probabilistic. Output may be inaccurate, incomplete, outdated, or similar to material generated for other users.
You are responsible for evaluating Output and deciding whether and how to use it. Verify important facts and obtain qualified professional advice when appropriate. Output is not a substitute for legal, tax, accounting, investment, medical, employment, cybersecurity, or other regulated professional advice.
Wired2Lead does not make business decisions for you and does not guarantee revenue, savings, profitability, growth, regulatory compliance, or any other result. You remain responsible for your business decisions, communications, policies, and implementation.
6. Acceptable use
You may not use the Services to:
- violate a law, regulation, court order, contractual restriction, or another person’s rights;
- create, distribute, or facilitate unlawful, fraudulent, deceptive, defamatory, harassing, abusive, or harmful material;
- send spam or unlawful marketing communications, or process personal information without a lawful basis or required notices and consent;
- upload malware, interfere with the Services, bypass security or usage controls, probe vulnerabilities, or gain unauthorized access;
- reverse engineer, scrape, systematically extract, copy, resell, or use the Services to build a competing product except as permitted by law or a written agreement;
- misrepresent AI-generated material as independently verified professional advice;
- use the Services for high-risk automated decisions affecting a person’s legal rights, credit, employment, housing, insurance, health, or access to essential services without qualified human review and all legally required safeguards; or
- permit another person to use your account in a way that circumvents plan limits or access restrictions.
We may investigate suspected violations and remove content, restrict features, or suspend access when reasonably necessary to protect the Services, users, or third parties.
7. Wired2Lead intellectual property
The Services, including software, workflows, designs, interfaces, branding, training materials, templates, site content, and underlying technology, are owned by Wired2Lead or its licensors and protected by intellectual-property laws. Except for the limited right to use the Services under these Terms, no rights are transferred to you.
During an active subscription, Wired2Lead grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for your internal business purposes. You may use and adapt Output created for you for lawful business purposes, subject to any third-party rights and these Terms.
If you provide feedback, you grant Wired2Lead a perpetual, worldwide, irrevocable, royalty-free right to use that feedback without restriction or compensation, provided we do not publicly identify you without permission.
8. Third-party services and links
The Services may rely on or connect to third-party AI providers, payment processors, hosting services, analytics tools, email providers, and integrations. Third-party products are governed by their own terms and privacy notices. Wired2Lead is not responsible for a third party’s services, content, availability, or acts, although we remain responsible for our obligations under applicable law.
9. Service changes and availability
We may add, modify, or discontinue features as the Services evolve. We aim to provide reliable access but do not guarantee uninterrupted or error-free operation. Maintenance, security events, internet failures, third-party outages, and circumstances beyond our reasonable control may affect availability.
10. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WIRED2LEAD DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND RESULTS. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT OUTPUT WILL BE ACCURATE OR SUITABLE FOR YOUR PURPOSE.
Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WIRED2LEAD AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, SAVINGS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES; OR THE COST OF SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WIRED2LEAD’S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID WIRED2LEAD FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.
These limitations do not apply where prohibited by law or to liability that cannot legally be limited.
12. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Wired2Lead and its owners, officers, employees, and contractors from third-party claims, damages, losses, liabilities, and reasonable costs arising from your Customer Content, your unlawful or unauthorized use of the Services, your violation of these Terms, or your infringement of another person’s rights.
13. Suspension and termination
You may stop using the Services at any time and may cancel a subscription as described above. We may suspend or terminate access if you materially breach these Terms, fail to pay amounts due, create a security or legal risk, misuse the Services, or if continued service becomes unlawful or impracticable.
Following termination, your right to use the Services ends. Provisions that by their nature should survive—including provisions concerning payment obligations, intellectual property, disclaimers, liability, indemnification, disputes, and general terms—will survive. Account data may be deleted according to our retention practices and legal obligations, so export information you need before termination where export is available.
14. Governing law and disputes
These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law rules. Before filing a legal claim, you and Wired2Lead agree to make a good-faith effort to resolve the dispute informally by providing written notice describing the issue and requested resolution.
Unless applicable law requires otherwise, claims that cannot be resolved informally will be brought exclusively in the state or federal courts located in Hamilton County, Ohio, and each party consents to those courts’ jurisdiction and venue.
15. General terms
These Terms and any referenced policies or order terms are the complete agreement concerning the Services and replace prior discussions about the same subject. If a provision is unenforceable, it will be modified only to the minimum extent necessary, and the remaining provisions will continue in effect. Our failure to enforce a provision is not a waiver.
You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law. We are not responsible for delay caused by events beyond our reasonable control.
16. Changes to these Terms
We may update these Terms as the Services or legal requirements change. We will post the revised Terms and update the “Last updated” date. If changes materially affect your rights, we will provide additional notice when required. Continued use after revised Terms take effect constitutes acceptance where permitted by law.
